MinuteLaunchExpert Partner Agreement
10.1 What this is
1WD has built, or may build, an AI Expert based on you from your public material, such as your public videos and interviews. You don’t have to do anything for it to stay listed, and you can ask for removal at any time under the Take-Down Policy. This agreement is for when you’d rather join us: you give us your permission, and we share the revenue from your Expert with you. You aren’t asked to create content. Creating new content with us is a Publisher relationship under section 9.
10.2 Your permission
You give 1WD your written consent, and a non-exclusive, worldwide licence for as long as this agreement lasts, to:
- use your name, photograph, likeness, biography, and public statements and material to build, display, update and offer an AI Expert based on you;
- let customers who have access talk with your Expert, and let it summarise and cite your public material;
- list your Expert in the MinuteLaunch Library with a Partner mark, and market it under your name.
This consent is meant to satisfy the Illinois Right of Publicity Act and similar laws elsewhere. Ticking the box and clicking “Agree and continue” is your electronic signature. We record the date and time, the account email, the IP address and the agreement version.
10.3 Your say over your Expert
- You can review your Expert’s profile (name, photo, bio and topics) and ask us to correct facts or change the photo.
- You can ask us to remove particular statements or topics from what it draws on, and send more of your material if you choose.
- Your Expert is always labelled as an AI, speaks about your teaching in the third person, and never claims its answers are advice from you.
10.4 Your share: 50% after costs
- Partner Revenue is the money 1WD actually receives that’s attributable to your Expert, under 10.5.
- Costs come off the top: transaction costs (Stripe processing, billing and payout fees, refunds, chargebacks, dispute fees, and taxes collected), then hosting and delivery costs (hosting, storing and delivering your Expert, and the AI, search and research costs of building, updating and running it).
- Your share is 50% of what remains. 1WD keeps the other 50%. Every cost is shown on your statement.
- Your share starts on the date you accept this agreement. Nothing is owed for anything before that date.
- Affiliate commissions are paid only on plans, never on Library items, so they never reduce your share.
10.5 How revenue is attributed
- Your Expert sold on its own: the whole sale.
- A pack or bundle with several Experts: divided among them in proportion to use by customers during the period, or equally where use can’t be measured.
- Experts included in a plan: a share of plan revenue set aside for the Expert Library, divided in proportion to use. The method and the set-aside are on your statement.
- Guests and hosts are separate. If you appeared on someone’s show, you’re paid on your own Expert and the show owner on theirs.
- The method may change on 30 days’ notice. Changes don’t affect amounts already earned.
10.6 Getting paid
- Each amount is held for 60 days after the payment it comes from, the same as for affiliates. Amounts later refunded or disputed are cancelled or deducted from future payouts.
- Payable amounts are paid monthly, once your balance is at least $25, by bank transfer through Stripe. Your bank details go directly to Stripe.
- You provide a W-9 or W-8. We issue tax forms where the law requires. You’re responsible for your own taxes.
10.7 Statements and audit
Your statement shows, for each period, the revenue attributed to your Expert and how; each cost taken off the top; and your 50%, with what is held, payable, paid, cancelled or deducted. Once a year, on 30 days’ written notice, you may have an independent accountant review the records behind your statements, at your cost. If it finds an underpayment of more than 5%, 1WD pays for the review and the shortfall.
10.8 Your promises, and ending it
- You are the Featured Person, or authorised to act for them or for the show. What you tell us is accurate, and anything you send us is yours to give.
- Either side may end this agreement with 30 days’ notice. Your Expert then loses the Partner mark, you may ask for removal, and amounts already earned are paid after their holding period, less deductions.
- 1WD decides prices, packaging and whether to keep offering your Expert. You’re an independent contractor; “Partner” is a program name, not a legal partnership.
- Liability is limited to amounts paid or payable to you in the previous 12 months, except for breach of your promises. Disputes follow section 3, using the commercial rules, in Lake County, Illinois. Illinois law applies.
